MERGER: Bank of New York [BK] and Mellon Financial [MEL]

Issue:

Effective July 1, 2007, The Bank of New York Company, Inc. and Mellon Financial Corporation merged into a newly formed company, The Bank of New York Mellon Corporation [NYSE: BK]. Under the terms of the merger agreement, each share of The Bank of New York common stock converted into 0.9434 share of The Bank of New York Mellon common stock and each share of Mellon common stock converted into one share of The Bank of New York Mellon common stock.

This is a tax free merger.

Resolution:

Bank Of New York Shareholders

If you are a Bank Of New York shareholder, you should edit the profile of that company, and change the ticker symbol to OLDBK. Then, you can enter the merger in accordance with the instructions at:

Here is the data you will need:
1. Transaction Date - 7/1/07
2. Old Security - The Bank of New York Company, Inc. [BK]
3. Cash received in lieu of fractional shares - from broker statement.
4. New security - The Bank of New York Mellon Corporation [BK]
5. Shares received - .9434 times number of OLDBK shares held. Include any fractional shares.
6. Price per share of new company - 46.69

Mellon Financial Shareholders:

Mellon Financial shareholders will not enter the merger, but will need to change the name of the company from Mellon Financial Corporation to The Bank of New York Mellon Corporation, and the ticker symbol to BK.
