BHP Billiton spinoff of South32

The structure of this spinoff for US shareholders of the BHP Billiton ADRs was the distribution of South32 ADRs as a taxable dividend.

This transaction will need at least two entries in the accounting software. The information below is based on the information available from Billiton. These instructions are for holders of the BHP Billiton American Depository Receipts (ADRs) that trade on the New York Stock Exchange and received the ADRs of South32.


 

The Dividend Entry

Go to Transactions > Dividend or Distribution or Accounting > Securities > Cash Dividend depending on the version of the software being used.

Here is the information you need to complete the dividend entry.

  • Date: 5/24/2015
  • Select Transaction Type : Dividend or Distribution
  • Amount: [9.00 x .4 x (# of BHP shares owned)]
    • For example, if you owned 100 shares of BHP your dividend amount would be: 9 x .4 x 100 = 360.
  • This amount includes the value of any fractional shares of SOUHV.
  • Ex-Dividend date: 5/23/2015. There was no information on this in the BHP web postings. This is an estimate.
  • Type : Dividend
  • Select Security: BHP Billiton (BHP)

Save the transaction and the dividend has been entered.


 

The Buy Entry

Go to Transactions > Buy or Accounting > Securities > Buy depending on the version of the software being used.

Here is the information you need to complete the buy.

  • Date: 5/24/2015
  • Select Security: South32 (SOUHV)
  • Number of Shares Bought : This is .4 x (# of BHP shares owned). For 100 shares of BHP this would be 40.
  • Net Total of Purchase: This should be the same as the dividend amount above. For 100 shares of BHP this would be 360.

Fractional Share Sale

This is only needed if you received cash-in-lieu of fractional shares from this transaction. The amount will be listed on your broker statement.

  • Go to Transactions > Sell or Accounting > Securities > Sell depending on the version of the software being used.
  • Shares sold: The non-whole share amount from the calculation .4 x (# of BHP shares owned). For example, if 102 BHP shares owned .4 x 100 = 40.8. The non-whole amount would be .8.
  • Date: 5/26/2015
  • Sale Proceeds: Use the cash-in-lieu amount from your broker statement.
