SPINOFF: App Pharmaceuticals (APPX) and Abraxis BioScience (ABII)

Issue:

On 11/13/2007, APP Pharmaceuticals,Inc. [APPX] changed its name and symbol from Abraxis BioScience, Inc. [ABII], and distributed 0.25 shares of Abraxis BioScience, Inc. [ABII] for each share of APPX owned in a regular spinoff.

Cause:

This is a normal spinoff.

Resolution:

IMPORTANT: Prior to making any of the spinoff entries below, you must change the name and symbol of Abraxis to APP Pharmaceuticals, Inc. [APPX]. You will be using the old name and symbol for the spun off company. To change the name and symbol of a security, double click on the security and enter the new data.

NOTE: Usually the company provides it shareholders with the percentage of original basis to be retained by the company making the spinoff. In this instance, the company has not done so. They have given the general guidelines for basis allocation, but have not submitted a percentage figure. We have made the calculation, but you might want to verify our data with your tax adviser.
