Comcast and Versant supplied information on this transaction indicates this spinoff will meet the criteria for being a tax-free reorganization distribution. The cost basis allocation information is calculated from the average of the opening and closing prices of VSNT and CMCSA on the first trading day for VSNT, 5 January 2026. This method to determine fair market value of the post spinoff companies is commonly used. The cost basis allocation is dependent on the prices used for both Versant and Comcast in the cost basis allocation calculations. In our experience brokers tend to use the prices found in the guidance companies post on their websites including IRS form 8937. If available, our instructions will use the guidance in form 8937. If your broker does not use that guidance, or form 8937 is not publicly available, the cost basis of the companies involved as recorded in your accounting records and in your broker’s records may not match. NOTE 2:
Both Comcast and Versant have class B shares. CMCSK is the ticker for Comcast class B shares while Versant class B shares share the same ticker, VSNT, as the class A shares. In this spinoff CMCSA shareholders received VSNT class A shares and CMCSK shareholders received Versant class B shares. Since CMCSK shares generally do not trade publicly and Versant class B shares share the same ticker as class A shares, we ignored the class B shares in these instructions.
