Blackstone Inc. led a group that completed its merger with Hologic on 7 April 2026. Hologic shareholders received $76.00 cash and 1 Contingent Value Right (CVR) for each HOLX share. The CVRs give the right to receive up to $3.00 in additional proceeds if certain conditions are met. This is a taxable event for Hologic shareholders. It is treated as a sale of Hologic shares for the total value of cash and CVRs received. Hologic became a privately held company after the completion of this transaction.
NOTE: The SEC filing for this merger stated the tax treatment and FMV of the CVRs are uncertain. The filing only gave broad discussion of the possible treatment of the additional payments that may be received from holding the CVRs. Since there was no guidance on the cost basis of the CVRs and the tax treatment of the additional value that may be received, these instructions will use the simplest method of entering this transaction with the minimum tax consequences for HOLX shareholders. This will involve giving a value of zero to the CVRs. This is somewhat justified by a broker statement supplied by a customer that gave a value of zero to the CVRs received. However, be aware that due to the high uncertainty of the tax consequences of the CVRs, the IRS may have a different interpretation than presented in these instructions.
The CVRs will not be traded on any exchange so trading information will not be available to value the CVRs. This also means prices will not be available for use in valuations in myICLUB. This is the reason the instructions do not include a way to include the CVRs in the club portfolio.

Here is the information needed for Hologic shareholders to complete the sale transaction for this acquisition/merger. This process will NOT include the CVRs in your portfolio in myICLUB.
Save the transaction and the sale/merger is completed.
If future payments are received, the first payment can be entered as interest received from Hologic. The second payment, if received, can be entered as a capital gain distribution from Hologic.
